Netflix declines to raise its offer for Warner Bros. Discovery

Netflix has announced that it will not increase its bid to acquire Warner Bros. Discovery (WBD) after the company’s board determined that the proposal submitted by Paramount Skydance (PSKY) qualifies as a “superior offer” under the existing merger agreement.

Netflix co-CEOs Ted Sarandos and Greg Peters stated that the initially negotiated transaction would have created shareholder value and offered “a clear path to regulatory approval.” However, they added: “The transaction we negotiated would have created value for shareholders, with a clear path to regulatory approval. However, we have always been disciplined, and at the price required to match the Paramount Skydance offer, the deal is no longer financially attractive.”

They described Warner Bros. as a “world-class organization” and thanked WBD’s leadership for “a fair and rigorous process.” “We believe we would have been responsible stewards of Warner Bros.’ iconic brands, and our agreement would have strengthened the entertainment industry and created more production jobs in the United States. However, this transaction was always a value opportunity at the right price, not a necessity at any cost,” the statement added.

$20 billion investment planned for 2026

Netflix maintains a strong financial position and plans to invest approximately $20 billion in film and television production in 2026. The company will also continue its share buyback program and reiterated its commitment to profitable growth and long-term shareholder value creation.

The proposed transaction between Netflix and WBD was closely monitored by US regulators and the SEC (U.S. Securities and Exchange Commission) due to the strategic importance of Warner Bros.’ content portfolio.
